Welcome to NewWave AI Partners LLC (“NewWave,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, training programs, advisory services, and related offerings (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

  1. Scope of Services

NewWave AI Partners provides artificial intelligence training, strategic advisory services, workshops, consulting, and related educational materials. Our Services are advisory and educational in nature only and are not a substitute for professional legal, financial, cybersecurity, regulatory, or compliance advice unless expressly stated in a separate written agreement.

We do not provide managed IT services, system administration, or operational control unless explicitly outlined in a separate contract.

  1. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Misuse training materials or proprietary frameworks
  • Attempt unauthorized access to systems, platforms, or accounts
  • Introduce malicious code or bypass security measures
  1. AI Outputs and No Reliance Disclaimer

Any recommendations, demonstrations, examples, models, scenarios, or outputs discussed or generated in connection with our Services are provided for educational and illustrative purposes only.

You acknowledge and agree that:

  • Artificial intelligence systems may produce inaccurate, incomplete, or biased outputs
  • AI-related insights require independent evaluation and human judgment
  • You are solely responsible for decisions, actions, and outcomes resulting from the use of AI tools or information

NewWave AI Partners makes no guarantees regarding business outcomes, performance improvements, financial results, or compliance through the use of AI technologies.

  1. Client Responsibilities

You are solely responsible for:

  • Decisions made based on training or advisory discussions
  • Implementation, configuration, and deployment of AI tools
  • Oversight of your personnel’s use of AI technologies
  • Compliance with all applicable local, state, federal, and industry regulations
  1. Intellectual Property

All training materials, presentations, documentation, methodologies, frameworks, recordings, and other proprietary content provided by NewWave AI Partners are the exclusive intellectual property of NewWave AI Partners unless otherwise agreed in writing.

You are granted a limited, non-exclusive, non-transferable license to use such materials internally for business purposes only. No resale, redistribution, or derivative use is permitted without prior written consent.

You retain ownership of all data, documents, and materials you provide to us during an engagement.

  1. Confidentiality

Each party agrees to maintain the confidentiality of all non-public business, technical, or strategic information disclosed during the course of the Services and to use such information solely for the purposes of performing under these Terms.

  1. Recording and Training Sessions

Training sessions, workshops, or advisory meetings may be recorded for internal quality, training, or participant access purposes. By participating, you consent to such recordings unless otherwise agreed in writing.

  1. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

  1. Limitation of Liability

To the maximum extent permitted by law, NewWave AI Partners shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption.

NewWave AI Partners’ total cumulative liability arising out of or related to the Services shall not exceed the fees paid by you to NewWave AI Partners in the twelve (12) months preceding the claim.

  1. Changes to Terms

We may update these Terms from time to time. Updated versions will be posted with a revised effective date. Continued use of the Services constitutes acceptance of the updated Terms.

  1. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
